These Terms and Conditions of Use ("Terms") govern your access to and use of the iPayso mobile application ("App"), website, and related services (collectively, the "Platform") operated by iPayso ("iPayso", "Company", "we", "us", or "our").
iPayso is a business-to-business ("B2B") digital technology platform designed primarily for local shopkeepers, merchants, and small business owners in India. The Platform provides digital ledger and payment-management tools that enable merchants to maintain customer credit records, track outstanding balances, record repayments, generate UPI payment requests, and communicate payment reminders to their customers.

By downloading, accessing, registering for, or using the Platform or any feature made available through it, you acknowledge that you have read, understood, and agreed to these Terms, together with the iPayso Privacy Policy and any other policies or guidelines made available by iPayso from time to time.
If you do not agree with these Terms, you must not access or use the Platform.

3. DIGITAL LEDGER SERVICES
The Platform allows Merchants to maintain digital records of transactions with their customers.
A Merchant may record information including:
- Customer name;
- Customer phone number;
- Amount of credit or "udhaar" provided;
- Amount of repayment received;
- Date and time of transaction;
- Transaction type;
- Outstanding balance;
- Transaction notes; and
- Other information voluntarily entered by the Merchant.
The Merchant acknowledges that all such records are created and maintained based on information entered by the Merchant.
iPayso does not independently verify the accuracy, authenticity, or legality of any transaction recorded by a Merchant.
The Merchant is solely responsible for ensuring that all ledger records are accurate and reflect actual transactions between the Merchant and the relevant customer.
iPayso's Digital Khata is a record-keeping and business-management tool and does not constitute an independent legal determination that any debt, credit, or financial obligation exists between a Merchant and its customer.
4. MERCHANT ACCOUNT AND ONBOARDING
To use the Platform, a Merchant may be required to create an Account.
iPayso currently supports authentication through:
- Google Authentication (OAuth)
Depending on the authentication method used, iPayso may receive and process information such as:
- Name;
- Email address;
- Phone number; and
- Basic profile information made available through the authentication provider.
The Merchant may also be required to provide business information, including:
- Shop or business name;
- Owner name;
- Business phone number; and
- Personal or business UPI ID.
The Merchant agrees that all information submitted during registration and onboarding shall be accurate, complete, and current.
The Merchant shall promptly update information that becomes inaccurate or outdated.
iPayso reserves the right to restrict or suspend an Account where the information provided is materially inaccurate, misleading, fraudulent, or unlawful.
5. ACCOUNT SECURITY
The Merchant is responsible for maintaining the security of their Account and authentication credentials.
The Merchant shall:
- Not share authentication credentials with unauthorized persons;
- Take reasonable measures to protect access to their device and Account;
- Immediately notify iPayso if they suspect unauthorized access; and
- Ensure that the mobile number and email address associated with the Account remain under their control.
iPayso will never request a Merchant's UPI PIN, bank password, debit card PIN, credit card PIN, CVV, or similar confidential payment credentials.
The Merchant acknowledges that iPayso does not collect or store such payment credentials.
6. CUSTOMER INFORMATION AND MERCHANT RESPONSIBILITY
The Platform allows Merchants to enter and maintain information relating to their customers.
Such information may include:
- Customer name;
- Customer phone number;
- Transaction information;
- Payment and credit records;
- Outstanding balances; and
- Transaction notes.
The Merchant is responsible for ensuring that they have the lawful right and authority to collect and provide such information to iPayso.
The Merchant shall comply with all applicable privacy and data-protection laws when collecting and entering customer information into the Platform.
The Merchant shall not knowingly provide iPayso with personal information that has been unlawfully obtained.
To the extent applicable under data-protection laws, the Merchant remains responsible for determining the purpose and lawful basis for processing its customers' personal information.
iPayso processes such information on behalf of the Merchant to provide the Services, subject to the iPayso Privacy Policy and applicable law.
7. CUSTOMER DATA AND DATA PROCESSING
For customer information entered into the Platform by a Merchant, the Merchant generally determines the purpose for which such information is collected and used.
Accordingly, the Merchant may act as the Data Controller or equivalent data fiduciary/controller under applicable law, while iPayso acts as a technology service provider or Data Processor to the extent applicable.
iPayso may process customer information solely for purposes including:
- Providing the Digital Khata functionality;
- Storing and displaying transaction records;
- Maintaining customer records;
- Providing payment-request functionality;
- Supporting payment reminder features;
- Maintaining and securing the Platform;
- Preventing fraud and abuse;
- Providing technical support; and
- Complying with applicable legal obligations.
The Merchant remains responsible for ensuring that the collection and use of customer information through the Platform complies with applicable law.
8. UPI PAYMENT REQUEST FUNCTIONALITY
iPayso may provide functionality that enables a Merchant to generate a UPI payment request using a standard UPI payment URI, including a upi://pay URI.
The generated payment request may contain information such as:
- Merchant UPI ID;
- Merchant name;
- Payment amount; and
- Transaction reference or note, where supported.
When a payment request is initiated, iPayso may use the Android operating system's native Intent mechanism to open a compatible UPI application installed on the User's or customer's device.
The actual payment transaction takes place entirely outside the iPayso Platform through the relevant UPI application, participating bank, UPI infrastructure, and other entities involved in processing the transaction.
iPayso does not:
- Receive or hold customer funds;
- Receive or hold Merchant funds;
- Operate a nodal or escrow account for such transactions;
- Process or settle UPI transactions;
- Act as a payment gateway or payment aggregator for such transactions;
- Receive automatic transaction success or failure callbacks from the UPI application; or
- Guarantee the successful completion of a payment.
9. PAYMENT VERIFICATION
Because UPI transactions initiated through iPayso are completed outside the iPayso Platform, iPayso may not receive real-time or automatic confirmation of whether a payment has been successfully completed.
The Merchant is solely responsible for independently verifying whether the payment has actually been credited to the Merchant's bank account.
The Merchant should verify the transaction through their bank account, banking application, UPI application, bank statement, or other appropriate means before marking a ledger entry as "Paid", "Received", or otherwise settled.
iPayso shall not be responsible for any loss resulting from:
- The Merchant incorrectly marking a transaction as paid;
- A failed or pending UPI transaction;
- A delayed bank transaction;
- A reversed or refunded payment;
- A fraudulent payment screenshot;
- A payment made to an incorrect UPI ID; or
- Any incorrect information entered by the Merchant or customer.
10. MERCHANT UPI ID
The Merchant may provide a personal or business UPI ID to be used for generating payment requests.
The Merchant is solely responsible for ensuring that the UPI ID entered into the Platform is accurate and belongs to the intended recipient.
iPayso does not independently verify the ownership or accuracy of the UPI ID entered by the Merchant.
If the Merchant enters an incorrect UPI ID, payment request, or other payment information, iPayso shall not be responsible for any resulting loss, subject to applicable law.
11. THIRD-PARTY UPI APPLICATIONS AND SERVICES
The payment functionality provided by iPayso may depend on third-party UPI applications, banks, NPCI infrastructure, telecommunications networks, operating systems, and other third-party services.
Examples may include UPI applications such as Google Pay, PhonePe, Paytm, or other compatible applications.
iPayso is not affiliated with, endorsed by, sponsored by, or controlled by such third-party service providers unless expressly stated otherwise.
Your use of any third-party UPI application is subject to the terms and privacy policies of that third party.
iPayso shall not be responsible for:
- The availability of any UPI application;
- Compatibility of a UPI application;
- UPI transaction failures;
- Banking system outages;
- NPCI infrastructure interruptions;
- Payment delays;
- Payment reversals;
- Incorrect transaction status displayed by a third party; or
- Any other failure arising from third-party systems.
12. WHATSAPP PAYMENT REMINDERS
iPayso may allow Merchants to prepare and share payment reminders with customers through WhatsApp.
The functionality operates through Android's supported application linking or Intent mechanisms and may open the Merchant's installed WhatsApp application with a pre-filled message and, where supported, an optional QR code image generated on the device.
The Merchant must review the message and manually select the "Send" option within WhatsApp.
iPayso does not:
- Automatically send messages in the background;
- Send messages without the Merchant's action;
- Operate or control WhatsApp;
- Access the Merchant's WhatsApp account; or
- Guarantee delivery or receipt of messages.
iPayso is not affiliated with or endorsed by WhatsApp or Meta Platforms, Inc.
The Merchant is solely responsible for the content and frequency of payment reminders sent to customers.
The Merchant must ensure that all communications comply with applicable laws and do not constitute harassment, threats, abuse, spam, or unlawful collection practices.
13. iPAYSO IS NOT A DEBT-COLLECTION AGENCY
iPayso is a software platform that provides digital ledger and payment-request tools. iPayso does not act as a debt-collection agency or collection agent on behalf of Merchants.
iPayso does not:
- Contact customers independently to recover debts;
- Guarantee repayment of any customer debt;
- Initiate legal recovery proceedings;
- Determine whether a customer owes money to a Merchant; or
- Assume responsibility for any dispute between a Merchant and customer.
Any dispute concerning credit, "udhaar", outstanding amounts, goods, services, or repayment obligations is solely between the Merchant and the relevant customer. iPayso shall not be responsible if a customer refuses or fails to pay a Merchant.
14. USER RESPONSIBILITIES
The Merchant is solely responsible for:

- The accuracy of customer records;
- The accuracy of ledger entries;
- The correctness of the Merchant's UPI ID;
- Verification of actual payment receipt;
- Compliance with applicable laws;
- Obtaining any required customer consent or providing legally required notices;

- Counterfeit or pirated goods;
- Unlawful gambling;
- Unauthorized financial activities;

16. DATA SECURITY AND ISOLATION
iPayso uses third-party infrastructure and technology providers to operate its Platform.
The backend infrastructure and database services used by iPayso are powered by Supabase and PostgreSQL.
iPayso implements technical and organizational security measures designed to protect User information.
The Platform uses database-level access controls, including Row Level Security (RLS), designed to restrict access to data based on the authenticated User and the relevant business environment.
Each Merchant operates within an isolated business environment, and the Platform is designed so that a Merchant cannot access or view data belonging to another Merchant through normal authorized use of the Platform.
However, no digital system can be guaranteed to be completely secure.
Accordingly, iPayso does not warrant that the Platform will be completely immune from unauthorized access, cyberattacks, data breaches, or other security incidents.
17. DATA BACKUP AND DATA LOSS
iPayso takes reasonable measures to maintain the availability and security of data stored through the Platform.

- Internet outages;
- Server or infrastructure failures;
- Cybersecurity incidents;
- Software errors;

Any applicable taxes shall be charged in accordance with applicable law.
19. INTELLECTUAL PROPERTY
All intellectual property rights in and to the iPayso Platform, including its software, application design, interface, branding, logos, trademarks, content, graphics, text, and technology, are owned by or licensed to iPayso.
